4. Details of undertakings: Divestment undertakings

(i) To dispose by 30 June 1993 of its interests in the ten Greater London bingo clubs listed in the Schedule to the undertakings as amended on 15 March 1991 ('the Business') to a person approved by the Director General.

(ii) Following such disposals:

(a) not to hold any interest in the Business; or any shares or interest in shares in any company carrying on or having control of the Business; or any other interest carrying an entitlement to vote at meetings of any such company;

(b) not to acquire, other than in the ordinary course of business, any assets of the Business;

(c) to procure that none of its employees or executive directors will hold or be nominated to any directorship or managerial position in any company or other undertaking carrying on or having control of the Business;

(d) not to participate in the formulation of any policy concerning the Business.

(iii) Paragraph (i) above does not oblige Rank to procure the sale of any interests in the Mecca bingo hall at Westway, East Acton for so long as that hall is subject to a compulsory purchase order.

(iv) Rank will not take any steps which might impede the disposal of the Business or its ability to operate as a going concern following the sale.

(v) Nothing in these undertakings shall prevent:

(a) a holding of less than 15 per cent of the issued share capital of any publicly listed company which carries less than 15 per cent of the votes exercisable at meetings of such a company;

(b) the acquisition of an interest in a business which includes in part an interest in the Business, providing that that part of the business is sold within six months and that these undertakings apply to such sale.
