(i) To refrain from increasing its present holding in British Rollmakers.

(ii) To refrain from any action which would result in its becoming able to control the policy of British Rollmakers.

In respect of Davy's current holding in British Rollmakers, it is Davy's intention;

(1) to dispose of it as soon as it can conveniently do so;

(2) not to interfere in the direction or management of British Rollmakers except where necessary to protect its investment, and in such circumstances to consult with the Office of Fair Trading before taking action.
