(i) Not without the prior written consent of the Secretary of State be a party or give effect to any arrangement with SAUR Water Services plc with respect to the business of Mid Kent Holdings plc or any of its subsidiaries which would give rise to a compulsory reference to the MMC sections 32 to 35 of the Act or any statute substantially re-enacting those sections.

(ii) To procure that each of its subsidiaries complies with these undertakings as if it had given them.

(iii) To forthwith provide to the Director General such information as he may from time to time reasonably require for the purpose of monitoring compliance by General Utilities and its subsidiaries with these undertakings.
