(i) Not knowingly to dispose or grant to Kemira:

(a) any interest in any of the nitrogenous fertiliser manufacturing enterprises involved in the proposed merger ('the Enterprises'); or

(b) any shares or interest in shares of any company carrying on or having control of any Enterprise; or

(c) other than in the ordinary course of business, any assets which are employed in any Enterprise; or

(d) any right in or licence (other than a non-exclusive licence) to use any intellectual property or trade mark appertaining to any Enterprise.

(ii) Not to permit Kemira to participate in the management of any Enterprise.

(iii) Nothing in undertaking (i) above prevents:

(a) any disposal to Kemira of any shares or interest in shares of any company if, following such disposal, the aggregate holding or interest of Kemira in any company carrying on an Enterprise does not relate to more than 10 per cent of the issued share capital and does not carry more than 10 per cent of the voting rights exercisable at meetings of the company;

(b) any transaction (other than a disposal of shares of an interest in shares) which does not give rise to a merger situation qualifying for investigation;

(c) any transaction constituting a concentration with a Community dimension under the EC Merger Regulation.
