(i) Not to:

(a) acquire any interest in any of the nitrogenous fertiliser manufacturing enterprises involved in the proposed merger ('the Enterprises'); or

(b) hold any shares or interest in shares of any company carrying on or having control of any Enterprise; or

(c) other than in the ordinary course of business, acquire any assets which are employed in any Enterprise; or

(d) acquire any right in or licence (other than a non-exclusive licence) to use any intellectual property or trade mark appertaining to any Enterprise; or

(e) participate in or attempt to influence the management of any Enterprise.

(ii) Nothing in undertaking (i) above prevents:

(a) the acquisition or holding by Kemira Oy of any shares or interest in shares of any company carrying on an Enterprise if Kemira Oy's holding or interest in that company does not relate to more than 10 per cent of the issued share capital and does not carry more than 10 per cent of the voting rights exercisable at meetings of the company;

(b) any transaction (other than an acquisition of shares or an interest in shares) which does not give rise to a merger situation qualifying for investigation;

(c) any transaction constituting a concentration with a Community dimension under the EC Merger Regulation.
