Behavioural undertakings

(i) Will, by the completion date, complete the sale of Citylink to a purchaser approved by the Director General of Fair Trading

(ii) Following such disposal:

(a) Not to acquire or hold: (1) any interest in Citylink; (2) any interest in any undertaking having control of or carrying on the business of Citylink; (3) hold any assets of Citylink; (4) hold any option to acquire any such interest or assets in Citylink.

(b) none of its directors or employees will hold or be nominated to any directorship or managerial position in any company or undertaking carrying on or having control of Citylink.

(c) not to participate in, or attempt to influence, the formulation of the policy of any person carrying on or having control of Citylink.

Undertaking (c) above shall not prevent NEG:

(1) selling tickets for coach services through ticket offices of Citylink; (2) permitting intending passengers to acquire from NEG coach services operated in part by NEG and in part by Citylink; (3) permitting intending passengers to acquire from Citylink coach services operated in part by Citylink and in part by NEG.

(iii) Will not:

(a) increase or maintain : (1) the frequency of a scheduled summer coach service operated by NEG beyond the frequency for that service in the 1997 summer schedule; (2) the frequency of a scheduled winter coach service operated by NEG beyond the frequency for that service on the 1996-97 winter schedule; or

(b) increase: (1) the operation of a scheduled summer coach service beyond the operation of that service in the 1997 summer schedule; (2) the operation of a scheduled winter coach service beyond the operation of that service in the 1996-96 winter schedule; or

(c) introduce: (1) a scheduled summer coach service in addition to the scheduled coach services operated in summer 1997; (2) a scheduled winter coach service in addition to the scheduled coach services operated in winter 1996-97

(iv) Will provide the Director General with such information as he may require from time to time for the purpose of monitoring compliance with these undertakings

'NEG' means National Express Group plc
