(i) Except in the ordinary course of business National Power shall

(a) not acquire, hold or have any interest in Southern Electric ('Southern')

(b) not acquire, hold or have any interest in any company or other undertaking having control of Southern, or any part of any undertaking or assets of Southern.

(c) procure that none of its employees or directors holds any directorship or managerial position in Southern or other undertaking carrying on or having control of Midlands;

(d) not to participate in the formulation of any policy or influence or attempt to influence any person having control of Southern;

Nothing in undertaking (i) above prevents National Power from holding any interest in Southern which it acquired prior to 23 November 1995.

(ii) National Power shall provide the Director General with such information as he may require in order to ascertain whether these undertakings are being complied with.
