Except in the ordinary course of business shall:

(i) not acquire, hold or have any interest in, undertaking or assets of, Midlands Electricity plc ('Midlands');

Nothing in paragraph (i) above shall prevent PowerGen from acquiring or holding any interest in a subsidiary of Midlands Electricity if that subsidiary is not engaged in any activity governed by a licence issued under the Electricity Act 1989.

(ii) not acquire, hold or have any interest in any company or other undertaking having control of Midlands;

(iii) procure that none of its employees or directors holds any directorship or managerial position in Midlands or other undertaking carrying on or having control of Midlands;

(iv) not participate in the formulation of any policy or influence or attempt to influence any person having control of Midlands;

(v) provide the Director General with such information as he may require in order to ascertain whether these undertakings are being complied with.
