Unless the Director has given prior written notification to Wiseman that in his opinion the acquisition is unlikely to give rise to any of the adverse effects specified in the Report, Wiseman shall not, directly or indirectly acquire:
(a) any interest in a Milk Supplier; or
(b) an interest in any company or other undertaking having control of a Milk Supplier; or
(c) other than in the ordinary course of a business, the whole or any part of any assets of a Milk Supplier; or
(d) the whole or any part of any undertaking of a Milk Supplier
The company need not comply with the above provided that :
(a) the Director General is satisfied that, as a result of the proposed acquisition, the increase in the volume of milk supplied shall be no more than 1 million litres per year, and
(b) the company provides the Director General (within 14 days of completion of the acquisition) with the following information:
(1) a description of the Interest, assets or undertaking acquired, including, where relevant, the name and address of any Milk Supplier acquired;
(2) the increase in the number of litres of milk per year as a result of the acquisition; and
(3) date of completion of the acquisition.
(ii) Wiseman shall provide to the Director General with information showing the average price, the highest price and the lowest price charged by Wiseman to each Customer Group for the supply of Milk.
(iii) Wiseman shall provide the Director General, when he requires, with the names and addresses of all its customers who are engaged in the supply of goods or services in Scotland.
(iv) Wiseman shall ensure that Director General is provided with such information as he may reasonably require from time to time to monitor compliance with these undertakings.
In these undertakings 'a Milk Supplier' means any person or other entity engaged in the supply of milk in Scotland by way of processing, wholesaling or retailing;
'Customer Group' means one of the following seven categories of customer who is engaged in the supply of goods or services in Scotland:
- national supermarket groups
- supermarket groups other than national supermarket groups
- retail outlets other than supermarkets
- doorstep delivery operators
- sub purchasers
- catering and hotels business
- public sector bodies
